1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the website at superfluidlabs.ai (the “Site”) and the services, workshops, events, and content offered by Superfluid Pte. Ltd. (UEN: 202622929N), a Private Limited company incorporated in Singapore (“Superfluid”, “we”, “us”, “our”). By accessing the Site, registering for an event or workshop, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

If you are registering on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Services

Superfluid provides applied AI training, workshops, enterprise transformation programs, and related events and content (collectively, the “Services”). Descriptions of Services on the Site are for general information. We may update, modify, or discontinue any part of the Services at any time.

3. Regulatory Status and Certificates

Superfluid provides short-format professional training and is not a registered Private Education Institution under the Private Education Act 2009 of Singapore, nor is it required to be. Our workshops do not lead to any government-recognised academic qualification. Any certificate of completion we issue attests to attendance and participation only and does not constitute an accredited qualification. The decision to recognise any certificate lies with the recipient’s employer or any institution to which it is presented.

4. Enterprise Agreements

Where you or your organisation has entered into a separate written agreement with Superfluid (including a statement of work, master services agreement, or engagement letter), that agreement prevails over these Terms to the extent of any conflict in respect of the services it covers. These Terms continue to govern your use of the Site.

5. Registrations and Bookings

5.1. Event and workshop registrations are subject to availability and our acceptance. We reserve the right to decline or cancel any registration at our discretion, including for invitation-only sessions.

5.2. You agree to provide accurate, current, and complete information when registering. We may cancel registrations made with false or misleading information.

5.3. Certain sessions are invitation-only. Submitting a request for an invitation does not guarantee admission. Admission to, and substitution or transfer of places at, invitation-only sessions are entirely at our discretion and are not subject to Sections 7.1 to 7.3.

6. Fees and Payment

6.1. Fees for paid workshops are stated on the Site or in your registration confirmation. Unless stated otherwise, fees are in Singapore Dollars and inclusive/exclusive of GST as indicated at checkout.

6.2. Payments are processed by third-party payment providers (e.g. Stripe). We do not collect or store your full payment card details. Your payment is also subject to the payment provider’s terms.

6.3. Only participants whose fees have been paid in full are entitled to attend a paid workshop, unless we have agreed invoiced payment terms in writing with your organisation.

6.4. You are responsible for any taxes, duties, or bank charges arising from your payment other than taxes on our income.

7. Cancellations, Substitutions, Transfers, and Refunds

7.1. Cancellation by you. Written cancellations (by email to hello@superfluidlabs.ai) are handled as follows, measured against the workshop start date:

  • (a) 14 or more days before: full refund, or full credit toward a future session, at your election;
  • (b) 7 to 13 days before: 50% refund, or full credit toward a future session;
  • (c) fewer than 7 days before, or non-attendance without prior notice: no refund or credit, but substitution under Section 7.2 remains available up to 48 hours before the session.

Refunds are processed within 14 days of approval to the original payment method.

7.2. Substitution. You may substitute another person from your organisation to attend the same session in your place at no charge, with written notice at least 48 hours before the session, subject to any eligibility criteria for that session. Substitutions are like-for-like: one participant for another in the same session, not a future one.

7.3. Transfer. You may transfer your booking once to a future session of the same workshop at no charge, with written notice at least 7 days before the original session, subject to availability. Transferred bookings are not eligible for refund under Section 7.1.

7.4. Cancellation by us. We reserve the right to cancel or reschedule any workshop, including for insufficient enrolment, by giving you notice at least 7 calendar days before the scheduled start date where reasonably practicable. If we cancel or materially reschedule a paid workshop, you may choose between a full refund or a transfer to an alternative session. This is your sole remedy for cancellation by us; we are not liable for travel, accommodation, or other incidental costs, including non-refundable tickets or reservations.

7.5. Substitutions by us. We may substitute trainers, speakers, or venues, and adjust program content, without notice, provided the overall nature of the workshop is preserved.

7.6. Force majeure cancellations. If a session is cancelled or postponed due to a Force Majeure Event (Section 16), you will receive a full credit valid for 3 months toward any Superfluid workshop, in lieu of a refund.

8. Conduct at Events

You agree to behave professionally at our events and workshops. We may remove any participant who is disruptive, abusive, or in breach of these Terms, without refund. Recording of sessions (audio, video, or screenshots) is prohibited unless we expressly permit it. Some sessions are conducted under confidentiality expectations; where notified, you agree not to attribute statements made by other participants or disclose materials marked confidential.

9. Participant Tools and Accounts

9.1. Our workshops may involve hands-on use of third-party AI tools and platforms. You are responsible for your own accounts, subscriptions, and access to such tools, and for complying with each tool’s terms of service.

9.2. You must not input your employer’s or any third party’s confidential, proprietary, or personal data into third-party tools during workshop exercises unless you are authorised to do so. Superfluid is not responsible for any data you submit to third-party tools.

10. Intellectual Property

10.1. All content on the Site and all training materials, slides, frameworks, templates, recordings, and documentation provided in connection with the Services (“Materials”) are owned by or licensed to Superfluid and are protected by intellectual property laws.

10.2. We grant you a limited, non-exclusive, non-transferable licence to use the Materials for your own internal learning and business purposes. You may not reproduce, distribute, sell, publish, or use the Materials to deliver training to third parties without our prior written consent.

10.3. “Superfluid” and associated logos are our trademarks. Nothing in these Terms grants you rights to use them.

11. No Professional Advice; Trainer Opinions

11.1. The Services and Materials are provided for training and general informational purposes only. They do not constitute legal, financial, investment, or other professional advice. AI tools, techniques, and vendor capabilities change rapidly; you are responsible for evaluating the suitability of any approach for your own circumstances before relying on it.

11.2. We do not accept responsibility for any person acting, or refraining from acting, as a result of information or views expressed in our workshops or Materials. Opinions expressed are those of the individual trainers and speakers and are not necessarily those of Superfluid. You should take professional advice when dealing with specific situations.

12. Third-Party Tools and Links

The Services may reference or make use of third-party AI tools, platforms, and websites. We do not control and are not responsible for third-party tools, their outputs, availability, pricing, or terms. Your use of any third-party tool is at your own risk and subject to that provider’s terms.

13. Online Delivery

Where a workshop or session is delivered online, you are responsible for your own device, software, and internet connectivity. We do not warrant that online delivery will be uninterrupted, timely, secure, or error-free. A session is not cancelled or rescheduled by reason of an individual participant’s technical difficulties, and no refund or credit arises from them.

14. Disclaimer of Warranties

The Site and Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any particular business outcome will result from attending our workshops.

15. Limitation of Liability

15.1. To the maximum extent permitted by law, Superfluid, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity, arising from or in connection with the Site or Services.

15.2. Our total aggregate liability for any claim arising from or in connection with the Services shall not exceed the fees paid by you to us in the six (6) months preceding the event giving rise to the claim, or SGD 100 if no fees were paid.

15.3. Nothing in these Terms excludes liability that cannot be excluded under Singapore law, including liability for fraud or for death or personal injury caused by negligence.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations, or for cancellation or postponement of any session, caused by events beyond our reasonable control, including strikes, lock-outs or other industrial disputes, failure of a utility service, transport, or telecommunications network, epidemic or pandemic, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, accident, fire, flood, storm, or default of suppliers or subcontractors (each a “Force Majeure Event”), provided that we notify you of the event and its expected duration as soon as reasonably practicable. Remedies for force majeure cancellations are set out in Section 7.6.

17. Indemnity

You agree to indemnify and hold harmless Superfluid from any claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Materials, or your violation of any law or third-party rights.

18. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.

19. Termination

We may suspend or terminate your access to the Site or Services at any time for breach of these Terms. Sections 10, 11, 14, 15, 17, and 21 survive termination.

20. Changes to These Terms

We may amend these Terms from time to time by posting the updated version on the Site with a revised “Last updated” date. Your continued use of the Site or Services after changes take effect constitutes acceptance. Material changes affecting paid bookings already made will not apply retroactively to those bookings.

21. Governing Law and Disputes

These Terms are governed by the laws of Singapore. The parties shall first attempt in good faith to resolve any dispute through negotiation, and may refer the dispute to mediation at the Singapore Mediation Centre before commencing proceedings. Subject to the foregoing, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

22. General

If any provision of these Terms is held invalid, the remainder continues in effect. Our failure to enforce any right is not a waiver. These Terms, together with any separate written agreement referenced in Section 4, constitute the entire agreement between you and us regarding the Site and Services, superseding prior discussions. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a corporate reorganisation or sale.
